These Terms of Service (“Terms”) are an agreement between you and TruNorth Sciencetech Private Limited (“Programmatic CMO,” “we,” “us,” or “our”), the company that operates the Programmatic CMO product and the website at programmaticcmo.com(together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Programmatic CMO is an AI marketing team: specialist AI agents that connect to marketing accounts you authorize, review your channels, and bring proposed changes to one approval queue. The agents do not make changes to your connected accounts until you approve them, subject to any autonomy settings you configure.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the activity under your account and for keeping your credentials secure. Provide accurate information and keep it up to date.
3. Connected accounts and authorizations
The Service works by connecting to third-party accounts you authorize (such as Google and Meta). You represent that you have the right to connect those accounts and to authorize the agents to act on them. Your use of each connected provider remains subject to that provider’s own terms, including the Google Ads API Terms of Service and the Meta Platform Terms. You can disconnect any provider at any time.
4. Approvals and your responsibility
You decide what the agents are allowed to do. When you approve a proposed change, or configure an agent to act automatically within limits you set, you authorize the resulting action in your connected accounts. You are responsible for reviewing proposals before approving them and for the marketing spend and outcomes in your own accounts.
5. Acceptable use
You agree not to:
- Use the Service to break the law or any third-party terms.
- Attempt to access accounts or data you are not authorized to access.
- Interfere with, disrupt, reverse engineer, or place unreasonable load on the Service.
- Resell or provide the Service to third parties without our consent.
6. Fees
Any paid plans, pricing, and billing terms will be presented to you before you subscribe. Marketing spend you authorize in your connected accounts (for example, ad spend) is billed by those providers, not by us, and is your responsibility.
7. Intellectual property
We own the Service and all related software, content, and trademarks, except for your data and content. You retain all rights to your data. You grant us a limited license to process your data solely to provide and improve the Service, as described in our Privacy Policy.
8. Beta and changes to the Service
Programmatic CMOis an early-stage product. Features may change, and parts of the Service may be offered as beta or preview functionality that is provided “as is.” We may modify, suspend, or discontinue any part of the Service, and we will give reasonable notice of material changes where we can.
9. Disclaimers
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that any marketing outcome will be achieved. Agent proposals are recommendations, and you are responsible for the decisions you approve.
10. Limitation of liability
To the fullest extent permitted by law, Programmatic CMO and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the 12 months before the claim.
11. Indemnification
You agree to indemnify and hold harmless Programmatic CMO from claims arising out of your use of the Service, your data, or your violation of these Terms or of any third-party rights or provider terms.
12. Termination
You may stop using the Service and delete your account at any time (see our Data Deletion instructions). We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Sections that by their nature should survive termination will survive.
13. Governing law
These Terms are governed by the laws of India, and the courts of Bengaluru, Karnataka, India will have exclusive jurisdiction over any dispute, subject to any mandatory rights you have under local law.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above. Continued use of the Service after an update means you accept the revised Terms.
